Terms & Conditions for Uploading Contents on Our Platform

These Terms & Conditions govern the uploading, publishing, distribution, and sale of videos, books, scripts, or any other written content on our Platform. By uploading Content to the Platform, you (“Author,” “Uploader,” or “User”) agree to be legally bound by these Terms. If you do not agree, do not upload any Content.

1. Eligibility

• You must be at least 18 years old or have legal permission from a parent/guardian to upload Content.
• You must have a valid account on the Platform.
• You must provide accurate information during registration and keep your profile details updated.

2. Ownership & Rights

• You must own the full rights to the Content or have written permission from the copyright owner.
• Content must not infringe on any copyright, trademark, or intellectual property law.
• All copyrights remain with the Author unless a separate agreement states otherwise.

3. Content Restrictions

• No illegal, hateful, violent, sexual or harmful content.
• No plagiarism or unauthorized use of other people’s work.
• Files must not contain malware, viruses, or harmful code.

The Platform reserves the right to reject or remove any Content that violates these rules.

4. Pricing & Earnings

• Authors may set the selling price for their Content unless restricted by promotional or platform-wide pricing rules.
• The Platform may offer discounts, promotional deals, or bundles involving your Content.
• Revenue sharing model (e.g., You receive X% and the Platform receives Y%) will apply according to the platform’s Payout & Royalty policy .
• Earnings will be paid out to Authors according to the Platform's payout schedule and payment methods.

5. Royalties and Payments

• Royalties will be calculated based on actual completed sales minus processing fees, taxes, promotions, or refunds.
• Payments will only be made to verified accounts.
• You are responsible for any taxes associated with your earnings (VAT, income tax, etc.)
• Fraudulent activities (fake purchases, refund manipulation, etc.) will result in account suspension and withheld earnings.

6. Content Removal and Account Termination

The Platform may remove Content or suspend/terminate accounts if:

• The Content violates these Terms or applicable laws.
• Any comedy video content may be removed, the platform is solely for educative contents.
• Fraudulent or abusive behavior is detected.
• A copyright complaint is filed against you and cannot be resolved.
• You request Content removal (allowed unless restricted by ongoing sales or contractual obligations).

Upon termination, your license to the Platform ends, but past sales or fulfilled purchases will remain accessible to customers who bought your Content.

7. Copyright Complaints

• In case of a copyright claim, your Content may be taken down temporarily while we review the complaint.
• You will be notified and may submit a counter-notice with proof of rights ownership.
• Repeated copyright violations may lead to a permanent ban.

8. User Responsibilities

• Provide accurate content details.
• Follow all legal and platform rules.
• Do not impersonate other authors/creators.
• Do not upload harmful files, misleading information, or deceptive content.

9. Platform License

By uploading, you grant us a non-exclusive license to host, display, distribute, and promote your Content on the platform. This license is for the sole purpose of operating, promoting, and improving the Platform.

10. Platform Rights

The Platform reserves the right to:

• Modify its features, policies, or pricing at any time.
• Refuse or remove Content at its discretion.
• Restrict access to certain features for security or moderation reasons.
• Suspend or delete accounts that violate Terms.

11. Liability Disclaimer

We are not responsible for lost data, downtime, unauthorized external distribution, or lost earnings.

12. Indemnification

You agree to indemnify and protect the Platform from any claims, damages, losses, or legal costs arising from:

• Copyright violations
• Defamation claims
• Unlawful content
• Breach of these Terms
• Misrepresentation or negligence

13. Changes to Terms

These Terms may be updated at any time. You will be notified of major changes via email or on your dashboard. Continued uploading or selling after changes means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of Federal Repulic of Nigeria. All disputes will be resolved in accordance with applicable local laws.
